Intellectual Property

EyeDope, on a weekly basis, will select from the internet, a party’s User Content (photo/verbiage) that has been meta-tagged #DopeMoment. The purpose of this selection will be to spotlight the originator of that content on our social media with their permission after consulting with them.

In order for us to make the User Content available on our social media for this purpose, and to operate, market and promote our social media, we need the right to make use of such User Content in accordance with and subject to this Agreement.

Therefore, by agreeing to be spotlighted on EyeDope social media, the originator automatically grants EyeDope an irrevocable and perpetual, non-exclusive, transferable, fully-paid, royalty-free worldwide license to use, copy, distribute, publicly display, print, publish, or republish their User Content.

Liability

By agreeing to be spotlighted on EyeDope social media, the party agrees that the User Content being submitted is their original content. Party must not submit User Content that was not created by them or properly licensed to them.

Indemnification. Party will defend US against any claim, demand, suit or preceeding made or brought against Us by a third party alleging that their User Content infringes or misappropriates such third party’s intellectual or copyright rights or violates applicable law (a “Claim Against Us”), and will indemnify US from any damages, attorney fees and costs finally awarded against Us as a result of, or for any amounts paid by Us under a court-approved settlement of a Claim Against Us, provided We (a) promptly give Party written notice of the Claim Against Us, (b) give Party sole control of the defense and settlement of the Claim Against Us (except that Party may not settle any Claim Against Us unless it unconditionally releases Us of all liability), and (c) give Party all reasonable assistance at Party’s expense.

Privacy

EyeDope agrees to not disclose the selected party’s name and/or email address to any party. Site further agrees to use only a first name when spotlighting the Party on our social media.

EyeDope agrees to share posting with Party in advance of it being uploaded on our social media.
